INTRODUCTION
The website greecevest.gr (hereinafter the “website” or the “site”) constitutes an online platform dedicated to the field of real estate, through which its users have the possibility to search for and to select the professional they wish, among various specialties of professionals related to real estate, as well as to have access to property listings that are posted on the website by certified real estate agencies.
This text (hereinafter the “Agreement”) includes all the terms and conditions that govern the relations between GREECEVEST and you (hereinafter the “Professional”, “you”, “your”) regarding your display on the site through the electronic purchase of subscription display and promotion packages directly from the site.
Please read this Agreement carefully, as well as the Personal Data Protection Statement, before you start using the site as a Professional. Your registration on our website and your use of its functions as a Professional entails your unconditional acceptance of this Agreement and of the website’s Personal Data Protection Statement, as in force each time.
PROFESSIONAL REGISTRATION
Only registered Professionals have the possibility to make use of GREECEVEST’s display and promotion services. Each Professional, with the electronic purchase of a subscription package, according to what is set out below, or with the free provision of a trial subscription period, is registered on GREECEVEST’s site and creates his/her professional account by filling in the necessary details that will be requested from him/her.
Before the completion of the registration process, specific supporting documents will be requested from the Professional, depending on his/her specialty, which certify the Professional’s experience, specialization and/or licence to provide his/her services. GREECEVEST reserves the ability, at its absolute discretion, to reject or to cancel the registration of a Professional on the site if, in its reasonable judgement, it considers that the Professional does not meet the conditions for registration and/or is not able to provide the declared services.
Upon completion of his/her registration, the Professional will have the possibility to create his/her professional profile, through which he/she will be able to process, modify and update his/her business details, the information on services he/she offers, his/her contact details, his/her days and hours of availability, as well as his/her promotional material (texts, logos, photographs, videos, offers, hyperlinks etc.), according to the relevant display package he/she has chosen.
The Professional is absolutely responsible for maintaining the security of his/her personal access codes and the overall security of his/her account, is rendered fully responsible for any act or action carried out in the account or through it, and GREECEVEST disclaims any related liability. The Professional must notify GREECEVEST immediately as soon as he/she notices any unauthorised use of his/her account or any breach of its security.
SUBSCRIPTION PACKAGES
The Professional has the possibility to purchase electronically one of the available display and promotion subscription packages (hereinafter the “Subscription Package”) provided by GREECEVEST, which include, among other things, the display of the Professional on the site, in the corresponding category, based on the services he/she offers, and the display of advertising material of the Professional’s choice (texts, logos, photographs, videos, offers, hyperlinks etc.). Specifically for real estate agent Professionals, the relevant Subscription Package gives them the ability to post, manage and parameterize property listings.
By clicking on each Subscription Package, the Professional will have the possibility to see all necessary information regarding it, such as the included benefits, its price, its duration, any discounts, etc. By selecting “Purchase Package”, the Professional is redirected to the relevant purchase page, where he/she is requested to fill in the necessary details that will be requested for the settlement of the Subscription Package. The Professional has the possibility to upgrade his/her Subscription Package at any time by paying the corresponding additional amount.
Unless a different duration is expressly stipulated, the duration of the Subscription Package may be: a) monthly, b) 6-monthly or c) yearly, commencing from the date of settlement of the Subscription Package by the Professional. After the end of the duration of the Subscription Package, any display of the Professional on the site automatically ceases, unless, in the meantime, he/she has renewed the subscription or has purchased another Subscription Package.
PAYMENTS
The completion of the Professional’s registration takes place with his/her payment of the price of the Subscription Package he/she has chosen (without prejudice to any rejection of the registration by GREECEVEST according to what is set out above). Payment is carried out easily and securely through the site using the Stripe payment service. The Professional will be redirected to the Stripe platform, where he/she will be requested to fill in his/her credit/debit card details so that the payment can be completed. Stripe is a recognised payment service provider that maintains all necessary technical and organisational security measures, such as, among others, TLS 1.2 encryption with a 128-bit encryption protocol (Secure Sockets Layer – SSL), ensuring the full security of the transactions and personal details of the Professional.
Upon crediting the amount to its account, GREECEVEST issues and sends to the Professional the relevant services invoice and informs him/her of the confirmation of his/her registration or of any further information that he/she may need to provide for the completion of the registration.
It is expressly agreed that, after the purchase of a Subscription Package and the completion of his/her registration, the Professional does not have the possibility to withdraw from this Agreement, for any reason, and the amount paid for the purchase of the Subscription Package is in no case refundable.
PROFESSIONAL’S OBLIGATIONS
For the entire duration of validity of this Agreement, the Professional declares and warrants that:
a) he/she has a sole proprietorship or is the legal representative of a company lawfully operating in Greece with an object related to the purposes of the website,
b) he/she fulfils all the conditions for exercising his/her profession, has obtained every necessary legal licence, certificate and/or degree, and fully complies with every law and regulation governing his/her profession,
c) he/she possesses the necessary knowledge and has all the qualifications as well as the required skills and abilities for exercising his/her profession,
d) the information he/she provides regarding the identity of his/her business, the services he/she provides and the listings he/she posts on the website is true, complete and up-to-date,
e) he/she will provide any necessary information, certification and document that may be requested from him/her by GREECEVEST within the framework of due diligence performed by the latter, either before or during the term of this Agreement,
f) he/she will not represent and/or act on behalf of any other person or any other business and will not use false details or details which he/she is not authorised to use,
g) he/she will faithfully and professionally fulfil all of his/her obligations arising from the agreements he/she concludes with clients who come into contact with him/her as a result of his/her display on the website, in accordance with good faith and fair business practices,
h) he/she will not proceed to posting and promotion through the website of any illegal product and/or service,
i) he/she will not post on the website any content which he/she does not have the licence to post,
j) he/she will not use the website in a manner that is contrary to this Agreement, or generally for purposes different from those for which the website is intended,
k) he/she will not use the website for any illegal activity, such as indicatively to transmit defamatory, offensive, abusive, threatening or indecent content, or content that may cause annoyance, disturbance or unnecessary anxiety to users of the website and/or to third parties,
l) he/she will not violate or attempt to violate the website’s security mechanisms, including access to any data or to a server to which he/she does not have the right of access,
m) he/she will not infringe any of GREECEVEST’s intellectual property rights, including indicatively its trademarks, distinctive signs and texts of the website, and will not copy, in any way, the content of the website,
n) he/she will not encourage, assist or cooperate with any third party in carrying out any of the above illegal acts.
GREECEVEST’S RIGHTS
GREECEVEST maintains the following rights with regard to Professionals displayed on the site:
a) the right to use the name, business name, logo and contact details of the Professional for the promotional purposes of the website as well as for the purposes of promoting the website to third parties,
b) the right to refuse the registration of a Professional on the site for any reason in its reasonable judgement,
c) the right to request from the Professional, at any time, any information, certification or document (such as, for example, professional licence, tax office registration certificate, GEMI Certificates, solemn declarations, etc.), which it has a reasonable interest in requesting within the framework of due diligence, in accordance also with the provisions of applicable legislation,
d) the right to cancel the Professional’s subscription, to suspend and/or to delete his/her account, without prior notice and without liability, in the event of a breach of any of the terms of this Agreement and/or of the Terms of Use of the website,
e) the right to unilaterally remove any material posted by the Professional and which GREECEVEST reasonably deems to be false, misleading or illegal in any way,
f) any other right available under Law for the protection of its interests, even if not expressly mentioned herein.
INTELLECTUAL PROPERTY
The Professional grants GREECEVEST a universal and free-of-charge licence to use the intellectual property rights belonging to the Professional and which the latter posts on the site, including trade names, distinctive signs, trademarks, images, graphics, photographs, videos, designs, texts, etc., for the purposes of displaying the Professional on the site and/or on GREECEVEST’s social media, in accordance with what is provided for in the relevant Subscription Package. The duration of validity of the above licence coincides with the duration of validity of the Subscription Package, upon the expiry of which GREECEVEST must refrain from any use of the above intellectual property rights.
The Professional declares and warrants that any material containing intellectual property rights that he/she posts on the site constitutes his/her own property, or otherwise that he/she has been lawfully granted the licence to use and freely dispose of it, including its disposal to GREECEVEST for the purposes of this Agreement.
In the event that the promotional material posted by the Professional contains any personal data of a third natural person, such as, indicatively, photographs or videos depicting persons, the Professional declares and warrants to GREECEVEST that for their posting on the website the consent of the data subjects concerned has been lawfully obtained.
INDEMNIFICATION
The Professional agrees to indemnify, defend and restore any damage of GREECEVEST, as well as of any parent or subsidiary company of ours, our officers, directors, employees and/or partners, against any claim or demand, including reasonable attorneys’ fees, that is submitted by any third party, due to or on the occasion of any breach of this Agreement on the part of the Professional, such as, indicatively and not exhaustively, defamation, infringement of intellectual property rights, trademarks, breach of consumer protection law or personal data legislation, false or misleading advertising, arising from the information provided or published by the Professional on the site and/or from the services he/she offers through it.
LIMITATION OF LIABILITY
The Professional acknowledges and understands that the display and promotion services provided by GREECEVEST are provided “as is”, without any warranty, commitment or assurance on the part of GREECEVEST in relation to the suitability, effectiveness and responsiveness of the selected Subscription Package to the Professional’s expectations. In no case is the purchase of a Subscription Package from GREECEVEST’s site connected with any sales, client-growth or profit objectives of the Professional and no such promise or commitment is provided to the Professional.
In no case does GREECEVEST communicate with the users of the website, mediate or become a contracting party, nor does it bear any responsibility for any claims due to any dispute, act or omission in relation to the conclusion, validity or performance of any agreement between the Professional and clients attracted through the site, including the collection of the Professional’s fee from the client.
In no case is GREECEVEST obliged to refund any amount to the Professional or to compensate him/her in any way, except in cases of termination due to fault of GREECEVEST according to what is set out below, in the event that the Professional, having purchased a Subscription Package:
a) omitted to create or to complete his/her professional profile on the site,
b) delayed in creating or completing his/her professional profile or in uploading his/her promotional material,
c) failed to conclude the desired number of agreements with visitors of the site or, for any other reason, was not satisfied with the Subscription Package he/she purchased,
d) failed to collect his/her fee for the provision of his/her services to a client,
e) failed to safeguard the security and confidentiality of his/her access codes and the overall access to his/her professional profile on the website,
f) committed any breach of this Agreement, resulting in the suspension of his/her account by GREECEVEST, in accordance with what is set out herein.
The Professional understands and accepts that the operation of the website may be affected and/or interrupted for reasons beyond GREECEVEST’s control. To the maximum extent permitted by law, GREECEVEST bears no liability and is under no obligation to compensate the Professional in any way in the event that, for any reason, the operation of the website is temporarily interrupted or the access of the Professional and/or visitors to it or to certain of its pages becomes difficult or impossible. In any case, GREECEVEST will make every possible effort for the quickest resolution of any such issues, within the framework imposed by good faith and fair business practices.
In no case can GREECEVEST be held liable for any consequential or indirect damage or lost income of the Professional, and the Professional expressly waives any related claim.
TERMINATION
The Professional has, at any time, the right to delete his/her account and to discontinue his/her display on the website before the expiry of the Subscription Package’s term. In such a case, however, it is expressly agreed that the Professional will not be entitled to the return of any amount on the part of GREECEVEST.
Without prejudice to any other provisions of this Agreement, each contracting party has the right to terminate this Agreement by written notice to the other party, without liability and without prior notice, in the event of culpable breach of any term hereof by the other party. In the event of termination by the Professional due to culpable breach of this Agreement by GREECEVEST, the sole and exclusive claim of the Professional against GREECEVEST shall be for the latter to return to the Professional the amount of the paid price corresponding to the remaining time period of the Subscription Package.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between GREECEVEST and the Professional and replaces any prior arrangements, statements, announcements or agreements, written or oral, between the two parties.
PARTIAL INVALIDITY
In the event that any provision of this Agreement is deemed illegal, invalid or unenforceable, that provision shall be enforceable to the maximum extent permitted by applicable law, and its invalid part shall be considered as not constituting part of this Agreement. This characterization shall not affect the validity and enforceability of the remaining provisions of this Agreement.
NO WAIVER
The omission or delay on the part of GREECEVEST to enforce any provision of these Terms of Use and/or to exercise any of its rights shall not be interpreted as a waiver of any such provision or right.
LAW AND JURISDICTION
This Agreement is governed by and interpreted in accordance with the laws of Greece, excluding the provisions on conflict of jurisdictions. The courts of Corfu that have subject-matter jurisdiction are designated as the locally competent courts for the resolution of any dispute that may arise between you and GREECEVEST.
AMENDMENTS
We reserve the exclusive right to amend or to update the terms of this Agreement whenever we deem it necessary. In any such case of amendment, you will be informed via email message.
The most recent version of the Agreement is at all times available on this page. We invite you to visit this page periodically in order to be informed of any changes or amendments. Continued access to our website and use of its services after any changes to this Agreement have been made constitutes your unconditional acceptance of these changes.
